Terms of Service

The terms that apply when you buy or use a Codeholt product.

These Terms of Service (“Terms”) govern your access to and use of the website, checkout pages, customer dashboard, and license API operated by Codeholt (“Codeholt”, “we”, “us”, or “our”), including codeholt.com and the storefront at app.codeholt.com (the “Service”). By creating an account, completing a purchase, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. What We Sell

Codeholt sells digital software licenses (“Licenses”) for the products listed on the Service. A License grants you a limited, non-exclusive, non-transferable right to use the corresponding software on the number of domains or installations specified in your plan, for as long as the License remains active (perpetually for one-time plans, or for the duration of an active subscription). Licenses are not a sale of the underlying software or its source code; all intellectual property rights in the software remain with Codeholt or its licensors.

Where a product is distributed under an open-source license such as the GNU General Public License, that license governs the code itself and nothing in these Terms limits the rights it gives you. These Terms govern the License key, update delivery, and support that Codeholt provides alongside it.

2. Accounts

An account is created automatically when you complete a purchase, using the email address provided at checkout. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

3. Orders, Pricing & Payment

Prices are shown at checkout in the displayed currency and may include applicable tax. Payments are processed by our third-party payment processors (Stripe and/or Paddle); Codeholt does not store your full card details. By placing an order you authorize the applicable processor to charge your chosen payment method for the amount shown, including recurring charges for subscription plans until cancelled.

4. Subscriptions & Auto-Renewal

Monthly and yearly plans renew automatically at the end of each billing period unless you disable auto-renewal from your dashboard before the renewal date. When auto-renewal is disabled, your subscription and associated License remain active until the end of the period you already paid for, then expire without further charge. You may re-enable auto-renewal at any time before the period ends.

5. Refunds

Refunds are handled under our Refund Policy, which forms part of these Terms.

6. License Activation & Use Restrictions

  • Each License may be activated on up to the number of domains specified by its plan’s domain limit.
  • You may not share, resell, sublicense, or publish your License key, except as expressly permitted by your plan.
  • We may suspend a License that is used in violation of these Terms, used fraudulently, or purchased with a reversed or charged-back payment.
  • You may remove and reassign domains yourself from the customer dashboard, subject to the domain limit of your plan.

7. Software Updates

Where a product includes update delivery, updates are made available to Licenses that are active at the time of the update check. Codeholt does not guarantee that updates will be released on any particular schedule.

8. Acceptable Use

You agree not to misuse the Service, including attempting to circumvent License verification, probing or scanning the Service for vulnerabilities without authorization, or using the Service to distribute malware or infringe the rights of others.

9. Disclaimer of Warranties

The Service and the licensed software are provided “as is” and “as available,” without warranties of any kind, express or implied, to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Codeholt will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid to Codeholt for the License giving rise to the claim in the 12 months preceding the claim.

11. Termination

We may suspend or terminate your access to the Service for breach of these Terms, fraud, or non-payment. You may stop using the Service at any time; termination does not entitle you to a refund except as set out in our Refund Policy.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated “Last updated” date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
